CS2009 is Commerce foundation only pertinent if I install Sharepoint?-Collection of common programming errors

I already have a CS2007 site, if I upgrade to CS2009, is this new Commerce Foundation pertinent if I don’t install Sharepoint or Multi-Channel support?
